Please read these Terms and Conditions carefully before using nexuspos.lk (the "Website") or subscribing to the Nexus POS software platform (the "Service"). By accessing the Website or activating a subscription you agree to be bound by these Terms. If you disagree with any part, please do not use the Website or Service.

1. Interpretation and Definitions

Interpretation

Words with capitalised initial letters have meanings defined under the following conditions. These definitions apply equally whether they appear in singular or plural form.

Definitions

  • Website — The marketing site accessible at https://nexuspos.lk and its sub-domains, including demo.nexuspos.lk.
  • Service — The Nexus POS cloud-based point-of-sale and business management platform, including all features, updates, and support provided under a subscription.
  • We / Us / Our — Nexus POS, the operator of the Website and Service.
  • You / Subscriber — Any business or individual who accesses the Website or holds an active Nexus POS subscription.
  • User — Any person (owner, manager, cashier, or staff member) granted access to the Service under a Subscriber's account.
  • Business Data — Sales records, inventory, purchase orders, customer details, user accounts, and all other operational data entered into the Service by the Subscriber or their Users.
  • Subscription Plan — The pricing tier (Basic, Premium, or Enterprise) selected by the Subscriber, as described on the pricing page at nexuspos.lk/pricing.
  • Content — All text, images, software, graphics, and other material published on the Website.

2. Acknowledgement

These Terms govern your use of the Website and the Service and form a legally binding agreement between you and Nexus POS. By accessing the Website or activating a subscription you confirm that:

  • You are at least 18 years of age or are accessing the Service on behalf of a registered business entity.
  • You have read and understood these Terms and agree to be bound by them.
  • Where you are accepting these Terms on behalf of a company or other legal entity, you have the authority to bind that entity.

Your continued use of the Website or Service following the posting of revised Terms constitutes your acceptance of the changes.

3. Use of the Website and Service

3.1 Website

The Website is provided for informational purposes — to describe the Nexus POS product, its pricing, and how to get started. You may browse the Website for lawful purposes provided you do not:

  • Attempt to gain unauthorised access to any part of the Website or its underlying infrastructure.
  • Use automated tools (scrapers, bots, crawlers) to harvest Content or data without prior written permission.
  • Engage in any activity that interferes with or disrupts the Website or its hosting environment.
  • Misrepresent your identity or affiliation when contacting us through any channel.

3.2 Service

Access to the Service is granted to Subscribers upon activation of a plan. You agree to use the Service only for lawful business purposes and in accordance with these Terms. You must not:

  • Share login credentials between Users or allow unauthorised persons to access your account.
  • Attempt to reverse-engineer, decompile, or copy any part of the Service software.
  • Use the Service to process, store, or transmit any data that is illegal, fraudulent, or infringes third-party rights.
  • Resell, sublicense, or otherwise make the Service available to third parties without our written consent.
  • Interfere with the integrity or security of the Service or its underlying data.

We reserve the right to suspend or terminate access to the Service for any Subscriber or User who violates these conditions.

4. Subscription and Billing

4.1 Plans and Fees

The Service is offered on a monthly subscription basis. Current plan pricing is displayed at nexuspos.lk/pricing. Fees are payable in advance each month. We reserve the right to change subscription fees with at least 30 days' notice to affected Subscribers.

4.2 Additional Warehouses

Each plan includes a defined number of warehouse locations. Additional warehouse slots may be added at the rates specified on the pricing page. These charges are billed monthly alongside the base subscription.

4.3 Payment

Payment details and accepted methods will be communicated at the time of onboarding. Failure to pay on time may result in suspension of access until outstanding amounts are settled.

4.4 Cancellation

You may cancel your subscription at any time by contacting us via WhatsApp or email. Cancellation takes effect at the end of the current billing month. We do not provide pro-rata refunds for unused days within a billing period.

4.5 Refund Policy

  • Setup and onboarding fees — non-refundable once the onboarding session has taken place.
  • Monthly subscription payments — non-refundable once the billing period has commenced.
  • Hardware purchases — subject to a separate hardware agreement. Contact us within 7 days of delivery for hardware defects or disputes.
  • Disputes — if you are unsatisfied with the Service, contact us within 7 days and we will work to resolve the issue before any refund is considered.

All refund requests must be submitted to info@nexuspos.lk.

5. Subscriber Responsibilities

As a Subscriber, you are responsible for:

  • Maintaining the confidentiality of all account credentials and ensuring Users do not share passwords.
  • Configuring user roles and permissions appropriately to limit access to sensitive data within your organisation.
  • Ensuring that your use of the Service complies with all applicable Sri Lankan laws, including those relating to business operations, taxation, and data protection.
  • The accuracy and legality of all Business Data entered into the Service.
  • Promptly notifying us of any suspected unauthorised access to your account.

6. Business Data and Privacy

Business Data entered into the Service remains the property of the Subscriber. We act solely as a processor of this data to deliver the Service and do not use it for any other purpose. Our full practices are described in the Privacy Policy, which forms part of these Terms.

Upon cancellation of a subscription, Business Data is retained for 30 days to allow export and then permanently deleted. It is your responsibility to export any data you wish to retain before cancellation takes effect.

7. Service Availability

We aim to provide a reliable, continuously available Service. However, we do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance where possible. We are not liable for any losses arising from temporary unavailability of the Service.

The Offline Mobile App (available on the Enterprise plan) allows basic POS operations during internet outages. Data captured offline will sync automatically when connectivity is restored.

8. Intellectual Property

All Content on the Website — including text, graphics, logos, icons, images, and software — is the intellectual property of Nexus POS and is protected by applicable copyright and intellectual property laws. You may not:

  • Reproduce, republish, or redistribute Content in any medium without written permission.
  • Sell, sublicense, or exploit any Content or software for commercial purposes.
  • Remove or alter any copyright, trade mark, or proprietary notice from the Website or Service.
  • Copy or imitate the design, structure, or interface of the Service.

Your subscription grants you a limited, non-exclusive, non-transferable licence to access and use the Service solely for your own internal business operations during the subscription term.

9. Links to Other Websites

The Website may contain links to third-party sites (WhatsApp, social media, payment partners, etc.) that are not operated by us. These links are provided for convenience only. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of every external site you visit.

10. "As Is" Disclaimer

The Website and Service are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. While we work continuously to maintain accuracy, features described on the Website may change as the product evolves.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Nexus POS shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, Business Data, goodwill, or other intangible losses — arising from:

  • Your use of, or inability to use, the Website or Service.
  • Any unauthorised access to or alteration of your Business Data.
  • Any third-party content or conduct on or linked from the Website.
  • Any interruption, suspension, or termination of the Service.
  • Errors or omissions in Content published on the Website.

In no event shall our total liability to you exceed the total subscription fees paid by you in the three months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict-of-law provisions. Your use of the Website and Service may also be subject to other local, national, or international laws where applicable.

13. Disputes Resolution

If you have a concern or dispute regarding these Terms or your use of the Service, you agree to first attempt to resolve it informally by contacting us at info@nexuspos.lk or via WhatsApp at +94 763 314 355. We will make every reasonable effort to resolve the matter promptly.

If informal resolution is not possible within 30 days, the dispute shall be referred to the appropriate courts or alternative dispute resolution mechanisms available under Sri Lankan law.

14. Severability and Waiver

Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible. The remaining provisions will continue in full force and effect.

Waiver

Failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorised representative of Nexus POS to be effective.

15. Changes to These Terms

We reserve the right to update or replace these Terms at any time at our sole discretion. Changes become effective when the updated Terms are posted on this page with a revised "Last updated" date. For material changes, we will notify active Subscribers via WhatsApp or email before the changes take effect.

Your continued use of the Website or Service after any change constitutes acceptance of the revised Terms. If you do not agree to the new Terms, please cancel your subscription and stop using the Service.
